Terms of service
Courtesy translation. This is an English rendering of terms issued in Spanish under Colombian law. If the two versions differ, the Spanish version is the one that governs.
These terms govern the provision of Webbidor's automation services. By contracting any of our services, the client accepts what is described here. The specific conditions of each project are agreed in writing and prevail over these general terms wherever they differ.
1. Who provides the service
Nestor Fabio Gómez Toro, an individual operating under the trade name Webbidor, national ID 1.060.651.934, domiciled in Manizales, Caldas, Colombia. Contact: contacto@webbidor.com and +57 323 374 8400.
2. What the service covers
Webbidor designs, implements and operates automations for support, sales and operations processes, powered by Artificial Intelligence and connected to channels such as WhatsApp.
- Initial setup: covers the process assessment, the design and production launch of the flow, training, documentation and a period of adjustments. It has a published list price, which Webbidor absorbs at no cost to the client when the client takes on an initial six (6) month support commitment, under the terms of section 10.
- Monthly support: operation, monitoring, support and minor adjustments according to the contracted plan.
Current prices are published on the standard automation page of this site. The specific scope of each implementation is defined in writing before starting, together with the criteria that determine it has been completed.
3. What the client must provide
- The business information needed to configure the assistant: services, prices, hours, coverage, frequently asked questions and any other content the assistant must handle.
- Participation in the initial account setup session.
- Designating a person responsible for receiving the assistant's notices and handling escalations.
- Keeping the information the assistant uses up to date. Webbidor is not liable for answers based on outdated information the client has not reported.
4. Ownership of accounts and data
The Meta Business account, the WhatsApp Business account and the associated phone number are registered in the client's name. They are the client's property. The data generated by the assistant —conversations, requests, appointments or orders— also belongs to the client.
If the client ends the relationship, they keep their number, their accounts and their data. Webbidor removes its access and deletes the operational copies under its control. Webbidor does not hold numbers, accounts or data as a way of securing continuity of the contract.
The processing of personal data is governed by the Personal Data Processing Policy. With respect to end customer data, the client acts as Controller and Webbidor as Processor.
5. What counts as a minor adjustment
Monthly support includes a defined number of minor adjustments. A minor adjustment is a change that does not alter the structure of the flow:
- Changes to the assistant's copy, messages or tone.
- Updates to prices, services, hours or coverage.
- Adding or modifying frequently asked questions.
- Changing notice recipients or the timing of follow-ups and reminders.
- Correcting configuration errors.
The following are not minor adjustments and are quoted separately:
- New automations or new processes.
- Changes to the logic or structure of the existing flow.
- Integrations with systems not covered by the original scope.
- Migration to another channel or another number.
- Bulk messaging campaigns and any marketing templates they require.
- Training sessions beyond those included.
Fixing faults attributable to Webbidor is never charged and does not consume the included adjustments.
6. Nature of the assistant and human oversight
The assistant runs on language models. Although it is configured with strict rules to answer only with information authorized by the client, it can make mistakes or fail to understand a request.
- Every assistant includes handoff to a person when the case requires it.
- The assistant does not confirm payments or final inventory availability. That confirmation always remains with the client's staff.
- The assistant does not replace human judgment in commercial, contractual or any other decisions that require a person's validation.
- The client is responsible for supervising the operation and for reporting incorrect behavior.
7. Dependence on third-party services
The service depends on third-party platforms —Meta, Google, language model providers and infrastructure providers— over which Webbidor has no control. Changes to their policies, pricing, availability or technical conditions may affect how the assistant works. Webbidor commits to giving timely notice and to seeking alternatives, but is not liable for interruptions originating with those third parties, nor does it guarantee an availability level that depends on them.
8. Results
Webbidor does not guarantee specific commercial results: it does not promise a percentage increase in sales or conversion, time savings or cost reduction. What it commits to is delivering the agreed scope and honestly measuring the indicators defined at the outset. Any figure published as a result will correspond to real measurements and will be identified as such.
9. Payments
- Implementation is paid as agreed in writing before starting.
- Monthly support is invoiced monthly in advance.
- Amounts are expressed in Colombian pesos.
- If a payment is more than fifteen (15) calendar days late, Webbidor may suspend the service after giving the client at least five (5) days' notice. Suspension does not delete data or accounts.
- WhatsApp messaging usage billed by Meta is governed by what is agreed in each client's proposal.
10. Term and termination
- When Webbidor absorbs the cost of the initial setup, the client takes on an initial six (6) month commitment of support, counted from the production launch.
- How the setup value is written off: for each full month of support paid, one sixth (1/6) of the list price of the initial setup is written off. If the client ends the service before completing the six months, only the portion not yet written off becomes payable, and it is invoiced at the time of termination. Example: ending at the third month makes three sixths (3/6) of that value payable.
- Once the six months are complete, no balance remains for the setup and the service continues month to month, with no lock-in.
- After the initial commitment, either party may end the service with thirty (30) days' written notice.
- The outstanding portion does not become payable if termination is due to a breach by Webbidor, to the service failing to meet the success criteria agreed in writing, or to a substantial change to these terms that the client does not agree with.
- On termination, the client keeps their number, their accounts and their data, as set out in section 4.
- There are no refunds of monthly fees already accrued.
- Webbidor may terminate the service immediately if the client uses it for unlawful purposes, to send unsolicited messaging, or in a way that breaches Meta's policies or applicable law.
11. Confidentiality
Webbidor keeps confidential the client's business information it accesses in the course of the service, and does not disclose it or use it for purposes other than providing that service. Webbidor will not publish the client's name or the results of their operation as a case study without prior written authorization.
12. Limitation of liability
Webbidor's liability to the client is limited to the value of the services actually paid during the three (3) months preceding the event giving rise to it. Webbidor is not liable for lost profits, lost commercial opportunities or indirect damages. This limitation does not apply in cases of willful misconduct or gross negligence.
13. Governing law and dispute resolution
These terms are governed by Colombian law. The parties will attempt to resolve any difference in good faith through direct communication. If they cannot, they will submit to the competent courts of Manizales, Caldas.
14. Changes to these terms
Webbidor may update these terms. Changes are published on this page with their new effective date. For clients with an active contract, substantial changes are notified thirty (30) days in advance and, if the client does not agree, they may end the service without penalty.
